Job Title: Senior Counsel, Commercial

Location: US – Remote (Pacific Time Zone)

About the role:

The Legal team is searching for a Senior Counsel to play a key role on the commercial side of our business. In this role, you will be working closely with the general counsel, as well as cross-functionally with internal business partners, and with customers, partners and vendors supporting sales and procurement efforts.

Responsibilities:

  • Partner with and advise business teams in the drafting, reviewing, and negotiation of a broad range of sale and commercial agreements, including some combination of SaaS and other technology licensing agreements, consulting and subcontractor agreements, channel partnerships, NDA’s, strategic agreements, vendor contracts, and software/IP development and licensing deals.
  • Provide practical and creative solutions while fostering trusted advisor relationships and supporting strategic decision making. Advise cross-functional teams and executives on legal risks encompassing statutory and regulatory issues such as privacy/personal data and intellectual property.
  • Support and coordinate with subject matter experts relating to compliance, finance, government, export control, product development, intellectual property, data security and privacy.
  • Pursue continuous improvement, scalability, and operational excellence in contract management, workflows, deal processes, and execution.
  • Drive strategic, high-impact legal initiatives, setting direction for complex projects and influencing company-wide decision-making. Provide leadership and expertise to facilitate cross-team collaboration and implement solutions for complex legal challenges.

Requirements:

  • Juris Doctor or equivalent
  • Admission to at least one US state bar
  • 8+ years of relevant experience drafting and negotiating complex commercial agreements, (customer, partner/channel and procurement agreement), including B2B SaaS, direct, channel partnerships, and strategic transactions. Experience working in a start-up environment is a plus.
  • Working understanding of business models, sales motion, global commercial negotiation practices, revenue recognition standards, data privacy, IP and commercial dispute.
  • Excellent negotiations and drafting skills and ability to provide practical legal advice.
  • Compelling communicator across written, verbal, and presentation formats
  • Resourceful problem-solver with strong business acumen. Ability to make discretionary decisions with confidence and minimal guidance.
  • Collaborative team player, willing to do what is necessary to get the job done
  • Familiarity with implementing/utilizing contract lifecycle management systems is a plus.
  • Strong work ethic and high integrity.

US Pay Range

The US annual base salary range for this full-time position is $182,900-$225,700 + benefits + 401(k) match + equity. The pay range is determined by the role, work location, job-related skills, level, experience and relevant education. [Certain roles are eligible to earn sales commission, depending on the terms of the applicable plan.] The range displayed is the minimum and maximum target base salary and is applicable only for new hires for the listed position located in the US.
